Administrative responsibility – Article 6 of Legislative Decree no. 231/01
Article 6 of Legislative Decree No. 231/01 states that the task of overseeing the functioning and compliance with the models, and ensuring their updating, has been entrusted to a body (Supervisory Body) within the entity, vested with independent powers of initiative and control. Through its “Regulations,” the Supervisory Body defines the guidelines regarding the appointment criteria, grounds for dismissal and ineligibility, possible replacements, duties, powers, duties, responsibilities,
composition, revocation, and termination, as well as the flow of information between it and other corporate bodies. The Regulations are an expression and instrument of the principles of autonomy and independence that characterize the Supervisory Body’s regime and must not contain any provision that could replace any requirement of the Model. It is not appropriate for such Regulations to be drafted and approved by corporate bodies other than the Body, as this could constitute a violation of its independence. The definition of aspects pertaining to the continuity of the Body’s action, such as the scheduling of activities, the recording of minutes of meetings and the regulation of information flows from company structures to the Body, may be left to the Body itself, which in these cases will have to regulate its own internal functioning.
